Acceptance of Terms

Welcome to the website (the “website”) of Northwest Executive Education (Northwest). On this website, Northwest makes available to you a wide range of information, software, products, downloads, documents, communications, files, text, graphics, publications, content, tools, forums, resources, and services.

Use of Information

By registering and using the website, you grant permission for this website to collect and use certain information. You acknowledge that you have reviewed this website’s Terms of Use, which describes this website’s practices with respect to the collection, use, and disclosure of information after you register.

Agreement to Receive Electronic Communications

If you are a User, you expressly consent to electronically receive all communications, agreements, documents, notices and disclosures whether transactional or promotional in nature as described more fully in the Privacy Policy. You agree that all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You agree that you have the ability to store such electronic communications such that they remain accessible to you in an unchanged form.

Agreement to Receive Autodialed or Pre-recorded Calls and SMS Messaging

By agreeing to receive electronic communications and/or by providing us with your telephone or mobile number in connection with our Services, represent that you are the subscriber of the cellular service at the mobile number provided, or that you are authorized by the subscriber to sign up to receive communications by telephone or text message. You further consent to receive autodialed or prerecorded calls, SMS, and/or text messages from us so that we may (i) notify you about activity connected with your User Account and any use thereof; (ii) provide you with Services associated with the Websites or Online Courses; (iii) troubleshoot problems with your User Account; (iv) resolve disputes; (v) collect debts; or (vi) as otherwise necessary to service your User Account or enforce this Terms of Use, our policies, applicable law, or any other agreement we may have with you. With your consent, we may also use automated technology or a pre-recorded voice to contact you by phone or SMS with offers and promotions that may interest you. To opt out of receiving offers and promotions by phone or SMS, please text STOP in reply to any communication sent by us or to the phone number identified in connection with our Service from the device for which you no longer wish to receive communications. We won’t share your phone number with third parties for any other purposes, other than to provide services to Northwest Education on our behalf as noted below, without your consent. We may share your phone numbers with our Affiliates or with our third-party service providers, such as provision of Services, customer support, billing or collections companies, who we have contracted with to assist us in pursuing our rights or performing our obligations under this Terms of Use, our policies, applicable law, or any other agreement we may have with you. Other than prohibited by law, you agree these parties may also contact you using autodialed or pre-recorded calls and text messages, as authorized by us to carry out the purposes we have identified above, and not for their own purposes. Standard telephone minute and text charges may apply.

You further understand and consent that we may, upon notice at the time of contact, monitor, or record telephone conversations between us (or our service providers) and you or anyone acting on your behalf has with us or our agents for quality control and training purposes or for our own protection. You acknowledge and understand that, while your communications with us may be overheard, monitored, or recorded, not all telephone lines or calls may be recorded by us, and we do not guarantee that recordings of any particular telephone calls will be retained or retrievable.

Use of Materials Limitations

All materials contained in the website are the copyrighted property of the respective Universities, University affiliated organizations, Northwest, its subsidiaries, affiliated companies and/or third-party licensors. All trademarks, service marks, and trade names are proprietary to the Universities, University affiliated organizations and Northwest, or its subsidiaries or affiliated companies and/or third-part licensors.

Unless otherwise specified, the materials and services on this website are for your personal and non-commercial use, and you may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the website without the written permission from Universities, University affiliated organizations or Northwest.

This website may contain links to other websites (“Linked Sites”). The Linked Sites are not under the control of this website and this website is not responsible for the contents of any Linked Sites, including, without limitation, any links contained in these Linked Sites, or any changes or updates to these Linked Sites. Certain services made available via this website are delivered by third party sites and organizations. By using any product, service, or functionality originating from this website, you hereby acknowledge and consent that this website may share such information and data with any third party with whom this website has a contractual relationship to provide the requested product, service, or functionality on behalf of this website’s users and customers.

Use of Documents and Publications on the Website

Accounts and Security

If any of the services on the website requires you to open an account, you must complete the registration process by providing us with true, current, complete and accurate information as prompted by the applicable registration form, and you will maintain and promptly update such information to keep it true, current, complete and accurate. You also will choose a password and a user name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify Northwest immediately of any unauthorized use of your account or any other breach of security. Northwest will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Northwest or another party due to someone else using your account or password. You may not use anyone else’s account at any time, without the permission of the account holder. You acknowledge and agree that certain services may provide password-restricted access to customer information such as names and certain terms of your contracts. By using this website and registering for such services, you consent to Northwest’s display of such information via the services and accept all risks of unauthorized access to such information. If you provide any information that is false, inaccurate, out of date, or incomplete, or Northwest has reasonable grounds to suspect that such information is false, inaccurate, not current, or incomplete, Northwest may suspend or terminate your account and refuse any and all current or future use of the services or any portion thereof. You are responsible for all costs and charges, including without limitation, phone charges and telecommunications equipment that you incur in order to use the services.

No Unlawful or Prohibited Use

As a condition of your use of the website, you will not use the website for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any Northwest server, or the network(s) connected to any Northwest server, or interfere with any other party’s use and enjoyment of the website. You may not attempt to gain unauthorized access to services, materials, other accounts, computer systems or networks connected to any Northwest server or to the website, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the website.

Use of Services on the Website

The website may contain e-mail services, bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, photo albums and/or other message or communication facilities designed to enable you to communicate with others (each a “Communication Service” and collectively “Communication Services”). You agree to use the Communication Services only to post, send and receive messages and material that are proper and, when applicable, related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using the Communication Services or the website, you will not:

  • Upload, or otherwise make available, files that contain images, photographs, software or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity) unless you own or control the rights thereto or have received all necessary consent to do the same.
  • Use any material or information, including images or photographs, which are made available through the website in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.
  • Upload files that contain viruses, Trojan horses, worms, time bombs, cancel bots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another.
  • Advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Services specifically allows such messages.
  • Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally reproduced, displayed, performed, and/or distributed in such manner.
  • Falsify or delete any copyright management information, such as author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.
  • Restrict or inhibit any other user from using and enjoying the Communication Services.
  • Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.
  • Harvest or otherwise collect information about others, including e-mail addresses.
  • Violate any applicable laws or regulations.
  • Create a false identity for the purpose of misleading others.
  • Use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity any directory of users of the Communication Services or other user or usage information or any portion thereof.
  • Use any Northwest domain name as a pseudonymous return email address for any communications that you transmit from another location or through another service.
  • Transmit unsolicited or bulk communications to any Northwest account holder or to any Northwest.in or affiliated email address (regardless of whether you use the website to transmit any such communication).
  • Disrupt the normal flow of dialogue, cause a screen to “scroll” faster than other users of the website are able to type, or otherwise act in a manner that negatively affects other users’ ability to engage in real time exchanges.

Northwest has no obligation to monitor the Communication Services. However, Northwest reserves the right to review materials posted to the Communication Services and to remove and/or edit any materials in its sole discretion. Northwest reserves the right to terminate your access to any or all of the Communication Services at any time, without notice, for any reason whatsoever.

Northwest reserves the right at all times to disclose any information as Northwest deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Northwest ‘s sole discretion.

Always use caution when giving out any personally identifiable information about yourself or your children in any Communication Services. Northwest does not control or endorse the content, messages or information found in any Communication Services and, therefore, Northwest specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Services. Managers and hosts are not authorized Northwest spokespersons, and their views do not necessarily reflect those of Northwest.

Materials uploaded to the Communication Services may be subject to posted limitations on usage, reproduction and/or dissemination; you are responsible for adhering to such limitations if you download the materials.

Materials Provided to Northwest or Posted to the Website

Unless otherwise specified, Northwest does not claim ownership of the materials you provide to Northwest (including, without limitation, information, ideas, concepts, techniques, feedback, data, questions, comments and suggestions, or the like) or post, upload, input or submit to the website or its associated services for review by Northwest, the general public, and/or by the members of any public or private community (each a “Submission” and collectively “Submissions”), and such Submissions shall be deemed not to be confidential. However, by posting, uploading, inputting, providing or submitting (“Posting”) your Submission you are granting Northwest, its affiliated companies and necessary sub-licensees permission to use your Submission in connection with the operation of their businesses (including, without limitation, all Northwest services), including, without limitation, the license rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, modify, translate and reformat your Submissions; to publish your name in connection with your Submission; develop, manufacture, and market products incorporating such ideas, concepts, or techniques, and the right to sublicense such rights to any supplier of the services and/or materials on the website.

No compensation will be paid with respect to the use of your Submission, as provided herein. Northwest is under no obligation to post or use any Submission you may provide and Northwest may remove any Submission at any time in its sole discretion.

By Posting a Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in these Terms of Use including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions.

In addition to the warranty and representation set forth above, by Posting a Submission that contain images, photographs, pictures or that are otherwise graphical in whole or in part (“Images”), you warrant and represent that (a) you are the copyright owner of such Images, or that the copyright owner of such Images has granted you permission to use such Images or any content and/or images contained in such Images consistent with the manner and purpose of your use and as otherwise permitted by these Terms of Use and the website, (b) you have the rights necessary to grant the licenses and sublicenses described in these Terms of Use, and (c) that each person depicted in such Images, if any, has provided consent to the use of the Images as set forth in these Terms of Use, including, by way of example, and not as a limitation, the distribution, public display and reproduction of such Images. By Posting Images, you are granting (a) to all members of your private community (for each such Images available to members of such private community), and/or (b) to the general public (for each such Images available anywhere on the website, other than a private community), permission to use your Images in connection with the use, as permitted by these Terms of Use, of any of the services or materials on the website (including, by way of example, and not as a limitation, making prints and gift items which include such Images), and including, without limitation, a non-exclusive, world-wide, royalty-free license to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, modify, translate and reformat your Images without having your name attached to such Images, and the right to sublicense such rights to any supplier of the services and/or materials on the website. Without limiting the foregoing, Northwestand its designees may disable, restrict access to or the availability of, any Submissions that violates the Terms of Use or is otherwise objectionable. You must evaluate, and bear all risks associated with, the use of any Submissions, including any reliance on the accuracy, completeness, or usefulness of such Submissions.

You understand that all Submissions, whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Submissions originated. This means that you, and not Northwest, are entirely responsible for all Submissions that you upload, post, provide, input, submit, or otherwise transmit via the website. Northwest does not control the Submissions posted via the website and, as such, does not guarantee the accuracy, integrity or quality of such Submissions. You understand that by using the website, you may be exposed to Submissions from others that are offensive, indecent or objectionable.

Unsolicited Idea Submission Policy

Northwest OR ANY OF ITS EMPLOYEES DO NOT ACCEPT OR CONSIDER UNSOLICITED IDEAS, INCLUDING IDEAS FOR NEW ADVERTISING CAMPAIGNS, NEW PROMOTIONS, NEW PRODUCTS OR TECHNOLOGIES, PROCESSES, MATERIALS, MARKETING PLANS OR NEW PRODUCT NAMES. PLEASE DO NOT SEND ANY ORIGINAL CREATIVE ARTWORK, SAMPLES, DEMOS, OR OTHER WORKS. THE SOLE PURPOSE OF THIS POLICY IS TO AVOID POTENTIAL MISUNDERSTANDINGS OR DISPUTES WHEN Northwest’s PRODUCTS OR MARKETING STRATEGIES MIGHT SEEM SIMILAR TO IDEAS SUBMITTED TO Northwest. SO, PLEASE DO NOT SEND YOUR UNSOLICITED IDEAS TO Northwest OR ANYONE AT Northwest. IF, DESPITE OUR REQUEST THAT YOU NOT SEND US YOUR IDEAS AND MATERIALS, YOU STILL SEND THEM, PLEASE UNDERSTAND THAT Northwest MAKES NO ASSURANCES THAT YOUR IDEAS AND MATERIALS WILL BE TREATED AS CONFIDENTIAL OR PROPRIETARY.

Feedback Terms

Northwest does, however, welcome your feedback regarding many areas of Northwest Education’s offerings. If you want to send us feedback, we request that you submit it to [email protected] Please provide only specific feedback on Northwest’s existing products, services, and promotion/marketing strategies to this email address; do not send or provide any other submissions.

Any feedback you provide to Northwest will be deemed to be non-confidential and not proprietary. Northwest will be free to use and redistribute such information on an unrestricted basis, without any compensation to you.

Spam E-mail and Postings

You agree that Northwest would be irreparably harmed by the use, by you or others, of the website or facilities in connection with the transmission of spam newsgroup postings or unsolicited e-mail in violation of these Terms of Use, and that Northwest is entitled to obtain injunctive relief against any such transmission (in addition to all other remedies available at law or in equity). Northwest reserves the right to block, filter or delete unsolicited e-mail.

Indemnity

You agree to indemnify, defend and hold Northwest, and its subsidiaries, affiliates, officers, agents, co-branders, partners, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your Submissons, your use of the website, including any use by your employees, your connection to the website, your violation of the Terms of Use, or your violation of any rights of another.

Advertisements and Promotions

Northwest may run advertisements and promotions from third parties on the website. The manner, mode and extent of advertising by Northwest are subject to change. Your correspondence or business dealings with, or participation in promotions of, advertisers other than Northwest found on or through the website, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. Northwest is not responsible or liable for any loss or damage of any kind incurred as the result of any such dealings or as the result of the presence of such non-Northwest advertisers on the website.

Community Code of Conduct

By engaging with Northwest’s community, whether as a user or otherwise, you are contributing to a culture of collaboration, mutual support, and lifelong learning.

Northwest’s Community Code of Conduct is enforced to foster a productive learning environment for you and your fellow students and alumni.

The Community Code of Conduct is in place with the priority of preserving:

  • Your safety
  • Your privacy
  • Respect among community members

By participating in Northwest community services, you agree to:

  • Cultivate a positive, supportive learning environment
  • Communicate respectfully and considerately with all users and Northwest staff
  • Not share content that is obscene, illicit, threatening, or discriminatory
  • Contribute constructively to discussions with fellow community members
  • Notify Programs.Online immediately if you become aware of Honor Code or community violations at [email protected]

The following behaviors are examples of the types of conduct that will not be tolerated in any Northwest community:

  • Harassment: Inappropriate, harassing, abusive, discriminatory, derogatory, or violent comments or conduct.
  • Discrimination: Offensive comments related to gender or gender identity, sexual orientation, race, ethnicity, religion, national origin, disability or disease.
  • Distributing inappropriate images: Use of sexual, violent, graphic, or derogatory images.
  • Bullying: Deliberate intimidation, threats of violence, violent language, or other language (e.g., comments on physical appearance), designed to intimidate, degrade, or shame another person.
  • Sexual harassment: Unwelcome sexual attention.
  • Self-injury or Suicide: Postings in any of our communities that encourage self-injury or suicide. If you or someone you know is exhibiting signs of self-injury or suicide, please find help at the Suicide Prevention Lifeline in the U.S. and Befrienders.org globally.
  • Other harmful conduct: Obscene, fraudulent, indecent, or libelous acts that defame, abuse, harass, discriminate against or threaten others.
  • Violations of our Terms of Use and Honor Code.

Violations
Northwest may take any action regarding your access to and/or use of the community, programs, or site as it deems appropriate in connection with a violation of this Community Code of Conduct, including, but not limited to, removal of your posts or other content, or removing you from any or all of our Services.

Termination of Rights

You agree that Northwest, in its sole discretion, may deactivate your User Account or otherwise terminate your use of the Services, or any part thereof, for any reason or no reason, including, without limitation, if Northwest believes that you have (a) breached this Terms of Use; (b) infringed the intellectual property rights of a third party; (c) posted, uploaded or transmitted Unauthorized Content to the Services; or (d) violated or acted inconsistently with the letter or spirit of this Terms of Use or any applicable code of conduct, including, without limitation the Code of Community Conduct. You agree that any deactivation or termination of your access to the Services may be affected without prior notice to you and that Northwest shall not be liable to you nor any third-party for any termination of your User Account or access to the Services. You also acknowledge that Northwest may retain and store your information on Northwest’s systems notwithstanding any termination of your account or the Online Courses as set forth in our Privacy Policy.

Copyright Infringement Claims and Dispute Procedure

Northwest respects the rights and intellectual property of others, and we ask our Users to do the same. If you believe that your product or other work has been misrepresented or used in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, please provide Northwest’s Copyright Agent with the following information:

  • A description of the product, work or other intellectual property that you claim has been misrepresented or infringed;
  • A description of where and/or specific link to the material that you claim is misrepresenting or infringing your product, work or other intellectual property is located on the Online Courses;
  • Your address, telephone number, and email address;
  • A statement by you that you have a good faith belief that the disputed use is not authorized by the owner of the product, work, copyright or intellectual property, or its agent, or applicable law; and
  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the product, work, copyright or intellectual property owner or authorized to act on such owner’s behalf; and
  • An electronic or physical signature of the person authorized to act on behalf of the owner of the product, copyright or other intellectual property interest.

Arbitration Provision

Legal Disputes and Arbitration Agreement Please Read This Following Clause Carefully – It May Significantly Affect Your Legal Rights, Including Your Right to File a Lawsuit in Court.

Initial Dispute Resolution

We are available by email at [email protected] to address any concerns you may have regarding these Terms or your use of the Services. Most concerns may be quickly resolved in this manner. Each of you and we agree to use best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations which shall be a precondition to either party initiating a lawsuit or arbitration.
